Mr. Gerald Coviello concentrates his practice on corporate transactional matters including public and private securities transactions, start-up company counseling, mergers and acquisitions, private equity and venture capital transactions, fund formation and counseling, commercial lending transactions, employment-related matters, pre-litigation counseling, and resolution of shareholder disputes.  Mr. Coviello counsels business entities and their owners at all stages of their development, from start-up to exit. He also serves as outside general counsel to small and midsized companies in a variety of industries including, without limitation, financial services, banking, hospitality, media, sports and entertainment, advertising, hedge funds, technology, software, medical technology, and consumer products. Mr. Coviello received his B.A. in Political Science from State University of New York at Albany, magna cum laude, and J.D. from Pace University School of Law, cum laude, where he served as a Note and Comment Editor of the Pace Law Review.  www.cwdlaw.com
